Board of Directors

Jack Crawford, P.Eng.

Chairman

Mr. Crawford is a private consultant with over 35 years of experience in the energy industry. He is a director of Carnaby Energy Ltd., a private junior oil and gas exploration company with operations in Alberta and B.C., and Chairman of Alberta High-Speed Rail (2005) Inc., a private company seeking to establish high speed rail service between Calgary and Edmonton. Previously, Mr. Crawford served as President and CEO of Altex Energy Ltd., a private energy infrastructure company, from 2005 to 2009. Prior to that, Mr. Crawford was Executive Vice President and Chief Operating Officer of Alliance Pipeline Ltd., the general partner of Alliance Pipeline Limited Partnership, a natural gas pipeline utility, from 1996 to 2004. Mr. Crawford holds B.Sc. (Mechanical Engineering) and MBA degrees from the University of Calgary and holds the ICD.D designation from the Institute of Corporate Directors. Mr. Crawford has also served on the boards of various charitable and industry associations, including the Canadian Energy Pipeline Association, the Van Horne Institute and the Calgary Philharmonic Orchestra Society, where he was chair in 2006 and 2007.

Adrian Goodisman

Managing Director and Co-Head US, Scotia Waterous

Mr. Goodisman has investment banking experience specializing in mergers and acquisitions and more than 18 years of experience in the exploration and production sector in the United States, Canada, Asia, Europe and South America. He currently sits on the Advisory Board of the Bilateral U.S.-Arab Chamber of Commerce. He also serves on the Capital Markets Committee of the Independent Producers Association of America (IPAA). He holds a B.Sc. (Mathematics) from the University of Salford, United Kingdom and an M.Sc. in Petroleum Engineering from the University of Texas, Austin.

Kenneth G. Hughes, MPA, BSc

Chairman, Wenzel Downhole Tools Ltd.

Mr. Hughes is the founder, principal shareholder and President of Alpine Insurance & Financial Inc., a successful group of property and casualty insurance brokerages across Alberta. Mr. Hughes completed a Master of Public Administration degree from the John F. Kennedy School of Government at Harvard University in 1983, with a focus on public and corporate finance. He received a B. Sc. (Agriculture) degree from the University of Alberta in 1978. Mr. Hughes also holds the ICD.D designation from the Institute of Corporate Directors. From 1988 to 1993, Mr. Hughes served as a Member of Parliament for the riding of Macleod with increasing levels of responsibility, including appointment as Parliamentary Secretary to the Deputy Prime Minister of Canada in 1993. Mr. Hughes has served as Chair of Alberta Health Services since May 2008, and was instrumental in leading the creation of governance oversight, recruitment of a senior management team and integration of 12 predecessor organizations. He is also currently Chairman of the Board, Wenzel Downhole Tools Ltd., a TSX listed company.

Michael L. Lee, P.Eng.

President and Interim CEO, AOS

Mr. Lee is a co-founder of AOS. Mr. Lee has 29 years of experience in the oil and natural gas sector, primarily in the exploitation and reservoir engineering disciplines, having worked for senior producers such as Encana, Burlington Resources Canada Ltd., Anderson Exploration and Amoco Canada Petroleum Company Ltd. His expertise comprises exploration and development planning as well as large capital project execution and management. Mr. Lee holds Mechanical Engineering and General Science degrees from the University of Alberta.

Bill Matheson

President & CEO, Carnaby Energy Ltd.

Mr. Matheson has over 20 years of experience in various capacities in the upstream and downstream sectors of the energy industry. He is currently President, CEO and Director of Carnaby Energy Ltd., a private E&P company with operations in Fort St. John, BC. Mr. Matheson is also a Director of Exito Energy Inc. a publicly traded CPC. Previously, Mr. Matheson was Chairman and CEO of Result Energy Inc., a publicly traded junior exploration company. Mr. Matheson has acted as advisor to the Alberta Petroleum Marketing Commission and the Alberta Stock Exchange. He holds a B.Comm. from the University of Calgary and an ICD.D certification from the Institute of Corporate Directors.

Shabir Premji, C.A.

Director, AOS

Mr. Premji is a co-founder of AOS, along with Michael Lee. Mr. Premji has 32 years of experience in the energy and financial sectors, including positions with KPMG, Edward Jones and Conoco Phillips. He is also the founder of multiple private exploration and production companies as well as two gas marketing companies. Mr. Premji’s experience includes finance, merger and acquisition activities, and building successful management teams. Mr. Premji is a Chartered Accountant with designations earned in England and Canada.

Leonard Sokolow, CPA

President and Vice Chairman, National Holdings Corporation

Mr. Sokolow’s company is in the financial services industry and is focused on high-net-worth and institutional investors and high-growth companies. Its subsidiaries, National Securities Corporation and Finance Investments, Inc., provide investment banking, retail and institutional brokerage services across the United States and in Latin America, Canada and Europe. Previously Mr. Sokolow was President of Genesis Partners, Inc., a private financial business consulting firm, from 1994 to 1998, and Chairman and Chief Executive Officer of the Americas Growth Fund, Inc., a public closed-end management investment company. He has also been a director of Consolidated Water Co. Ltd. and Chairman of its audit and nominations committees, since 2006 and 2009, respectively. Mr. Sokolow is a Certified Public Accountant and holds his B.Econ. degree from the University of Florida, a J.D. degree from the University of Florida, Levin College of Law, and an LL.M. (Taxation) from the New York University Graduate School of Law.
